Please read these Terms of Service and End-User License Agreement (the "Terms" or "Agreement") carefully before downloading, registering with, accessing, or using the SageLens mobile applications (iOS/Android) or website (https://sagelens.app) (collectively, the "Application" or "Services").
This Agreement is a legally binding contract concluded between you, as the user ("User" or "you"), and SageLens, developed and operated by Akram Boudjellal, located in Algeria ("Company," "we," "us," or "our"). By clicking "Accept," downloading, registering for an account, or otherwise using any part of the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our incorporated Privacy Policy. If you do not agree to these Terms, you must immediately cease using the Application and uninstall it from your devices.
1.1. Minimum Age Requirement: You must be at least 13 years old to access, register for, or use SageLens. SageLens does not permit registration or use by children under the age of 13 under any circumstances.
1.2. Users Under the Age of Majority: If you are between 13 and 18 years of age (or under the legal age of digital consent in your jurisdiction, including up to 16 years in certain European Union member states), you represent and warrant that you are accessing and using the Application only with the verifiable informed consent and active supervision of your parent or legal guardian, and that your parent or guardian has reviewed and agreed to these Terms and our Privacy Policy on your behalf.
1.3. Notice to Parents and Guardians: By permitting your child to use SageLens, you accept full legal and financial responsibility for their conduct, account activities, and any in-app purchases made through their device. If you believe an unauthorized minor under 13 has registered for SageLens, please contact us immediately at support@sagelens.app.
2.1. Limited License: Subject to your continuous compliance with these Terms, SageLens grants you a personal, revocable, limited, non-exclusive, non-sublicensable, and non-transferable license to download, install, and use the Application on authorized mobile devices that you own or control, solely for your lawful, personal, and non-commercial language learning purposes.
2.2. Ownership of Intellectual Property: The Application, including its software code, system architecture, curriculum content, algorithms, user interface, graphics, audio recordings, character designs, logos, and trademarks, is the exclusive intellectual property of SageLens or its licensors, protected by copyright, trademark, and international intellectual property treaties. All rights not expressly granted to you under this Agreement are reserved by SageLens.
3.1. Registration: While certain introductory features may be previewed without an account, accessing AI tutoring, vocabulary quizzes, and personalized learning tracking requires creating a SageLens account via email and password, or third-party authentication (Google Sign-In, Apple Sign-In).
3.2. Account Accuracy: You agree to provide accurate, current, and complete information and maintain its accuracy. Impersonating another person or creating fraudulent accounts is strictly prohibited.
3.3. Credential Security: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify SageLens at support@sagelens.app of any suspected security breach or unauthorized access. SageLens is not liable for any losses resulting from unauthorized account access.
You agree that you will not, under any circumstances:
Enforcement & Legal Remedies: Any breach of these conduct rules will result in immediate suspension or permanent termination of your account without refund, and may subject you to civil liability and criminal prosecution.
SageLens utilizes advanced Artificial Intelligence (AI) and Machine Learning models to provide interactive English language tutoring, automated error correction, pronunciation evaluation, and conversational dialogue.
5.1. Nature of AI Outputs: You expressly understand and agree that:
5.2. Educational Simulation Disclaimer: SageLens is an educational aid intended for conversational practice and self-improvement. It is not an accredited educational institution, certification board, or authorized examination body (such as TOEFL, IELTS, or Cambridge Assessment). SageLens does not guarantee specific exam scores, academic credentials, or employment outcomes.
5.3. Medical, Mental Health, and Professional Disclaimer:
SageLens is strictly a language-learning application. The AI Tutor does not provide medical, psychological, psychiatric, therapeutic, legal, financial, or emergency assistance of any kind.
6.1. User Input Ownership: You retain ownership of the texts, questions, messages, and voice prompts you submit to the Application ("Input").
6.2. Processing License: By submitting Input to SageLens, you grant the Company a worldwide, non-exclusive, royalty-free, fully paid-up license to process, store, transcribe, and transmit such Input solely for the limited purposes of providing our educational Services, generating AI tutor responses, performing pronunciation analysis, and debugging service quality in accordance with our Privacy Policy.
6.3. User Representations: You represent and warrant that you own or have obtained all necessary rights and permissions to submit your Input, and that your Input does not infringe upon any third party's copyright, trademark, privacy, or proprietary rights.
7.1. Paid Features: The Application is distributed globally through the Apple App Store and Google Play Store. While basic functionality may be made available to users free of charge, SageLens may offer certain advanced features, functionalities, and usage limits as paid features or auto-renewable subscriptions. If you choose to use such paid features under this Agreement, you will first need to complete payment before accessing the paid features.
7.2. Subscription Billing & Auto-Renewal: Subscription features may be offered on a weekly, monthly, quarterly, semi-annual, or annual basis and will automatically renew and be re-billed at the conclusion of each billing cycle depending upon the auto-renewable subscription model selected, until cancelled by you. Your mobile platform account (Apple App Store or Google Play Store) will be charged for renewal within 24 hours prior to the end of the then-current billing period.
7.3. Cancellation: You may cancel your subscription at any time directly through your device store account settings. To avoid being charged for the next billing cycle, cancellation must be completed at least 24 hours before the end of the current subscription period:
If you cancel your subscription, you will continue to have access to the paid features until the expiration of the current paid billing period.
7.4. Billing & Refunds: In-app purchases and subscriptions are purchased from and billed directly by the relevant mobile platform owner (Apple or Google), not directly by SageLens. These purchases are governed by and subject to the terms, conditions, and refund policies of the platform from which you downloaded the app. All billing, subscription management, and refund inquiries must be directed to Apple Support or Google Play Customer Support. SageLens does not collect, receive, or store your payment card or banking details.
8.1. Termination by User: You may terminate this Agreement at any time by deleting your SageLens account in the app under Profile → Delete Account, or by emailing privacy@sagelens.app. As stated in Section 7, deleting your account does not cancel recurring store subscriptions; you must cancel your subscription separately in your device store settings.
8.2. Termination by SageLens: We reserve the right to suspend or terminate your account and revoke your license to use the Services immediately, without prior notice, if you breach any provision of these Terms, engage in fraudulent or abusive conduct, or if required by applicable law or court order.
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, SAGELENS AND ITS SERVICES ARE PROVIDED ON AN "AS IS", "WITH ALL FAULTS", AND "AS AVAILABLE" BASIS.
SAGELENS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER STATUTORY, EXPRESS, OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, NON-INFRINGEMENT, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, NOR DO WE WARRANT THAT ANY DEFECTS WILL BE CORRECTED.
10.1. Limitation of Damages: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SAGELENS, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, WORK STOPPAGE, COMPUTER FAILURE, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE APPLICATION OR ANY AI-GENERATED OUTPUTS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2. Liability Cap: IN NO EVENT SHALL SAGELENS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU FOR ACCESSING THE APPLICATION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10.3. Indemnification: You agree to defend, indemnify, and hold harmless SageLens and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (d) any Input or content you submit.
SageLens shall not be held liable or deemed in breach of this Agreement for any failure or delay in the performance of its obligations resulting from acts or events beyond its reasonable control, including acts of God, war, riot, terrorism, labor disputes, internet and telecommunications outages, cloud infrastructure failures, power failures, fires, floods, pandemics, or government actions.
12.1. Governing Law: These Terms and any disputes arising out of or related to this Agreement shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
12.2. Jurisdiction: Any legal action, dispute, or proceeding arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts having jurisdiction over SageLens.
12.3. Consumer Rights: Nothing in these Terms shall deprive you of any mandatory statutory protections or consumer rights afforded to you by the laws of your country of habitual residence.
These Terms, together with our Privacy Policy, constitute the entire and exclusive agreement between you and SageLens regarding the Application and Services, superseding any prior written or oral agreements. If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
We reserve the right to revise or modify these Terms at any time. When updates occur, we will revise the "Last updated" date at the top of this document. Continued use of SageLens following the publication of revised Terms constitutes your irrevocable agreement to the new Terms.
